1. Acceptance of Terms

By downloading, installing, or using YAPP ("the app", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the app.

2. Description of Service

YAPP is a podcast player application that allows you to:

• Discover, subscribe to, and listen to podcasts
• Download episodes for offline listening
• Generate on-device transcriptions of episodes
• Sync your data across devices (optional, requires account)

3. User Accounts

3.1 Account Creation

You may use the app without creating an account. If you choose to create an account to enable sync features, you agree to:

• Provide accurate and complete information
• Maintain the security of your account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Termination

You may delete your account at any time through the app settings. We may suspend or terminate your account if you violate these Terms.

4. Acceptable Use

You agree not to:

• Use the app for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the app's functionality
• Reverse engineer, decompile, or disassemble the app
• Use automated systems to access the app in a manner that exceeds reasonable use
• Redistribute, sell, or commercially exploit the app without permission

5. Podcast Content

5.1 Third-Party Content

The app provides access to podcast content created and hosted by third parties. We do not control, endorse, or assume responsibility for any third-party content. Podcast publishers are solely responsible for their content.

5.2 Content Availability

We do not guarantee the availability of any podcast or episode. Content may be removed or become unavailable at any time due to actions by podcast publishers or other factors beyond our control.

5.3 Copyright

You agree to respect the intellectual property rights of podcast creators. Downloaded episodes are for personal, non-commercial use only.

6. Transcription Feature

The app includes an on-device transcription feature. You acknowledge that:

• Transcriptions are generated automatically and may contain errors
• Transcriptions are for personal convenience only
• You will not use transcriptions to infringe on content creators' rights
• Accuracy may vary based on audio quality, accents, and other factors

7. Intellectual Property

7.1 Our Property

The app, including its design, features, and code, is owned by Certificate Services and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

7.2 Your Content

You retain ownership of any content you create within the app (such as bookmarks and notes). By using sync features, you grant us a license to store and transmit this content solely to provide the service.

8. Privacy

Your use of the app is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

To the maximum extent permitted by law:

• We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the app will be uninterrupted, error-free, or secure
• We do not warrant the accuracy or completeness of any content or transcriptions

10. Limitation of Liability

To the maximum extent permitted by law, Certificate Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data or content
• Loss of profits or revenue
• Interruption of service
• Damages arising from third-party content

Our total liability for any claims arising from these Terms or your use of the app shall not exceed the amount you paid for the app (if any) in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Certificate Services and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the app or violation of these Terms.

12. Changes to the Service

We reserve the right to:

• Modify or discontinue features at any time
• Update the app to fix bugs or add features
• Change these Terms with notice to users

Continued use of the app after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Colorado, United States.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Certificate Services regarding the app.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
